Welcome to MaasaiSoko. Please read these Terms and Conditions carefully. By accessing and using our website, platform, or services (the "Platform"), you agree to be bound by;
MaasaiSoko Platform Terms and Conditions.
If you do not agree with any part of these Terms and Conditions, or if you are not eligible or authorized to be bound by the Terms and Conditions, then do not access the Platform, website or use the Services.
Please also review our Privacy Policy . The terms of the Privacy Policy and other supplemental terms, rules, policies, or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference.
General
Agreement: These Terms and Conditions constitute a legally binding agreement between you ("user," "you," or "your") and MaasaiSoko ("we," "us," , "our", or “administrator”).
Modification: We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason with or without prior notice. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms and Conditions.
User Eligibility: Our services are available only to individuals who are at least 18 years old and capable of forming legally binding contracts under Kenyan law. By using the Platform, you represent and warrant that you meet this requirement.
Use of Platform Information: The information provided on the Platform is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Subsequently, persons choosing to access the Platform, do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
Your Account
Registration: To access certain features of the Platform, you may be required to register an account. You agree to provide accurate, complete, and current information during the registration process as prompted. You may create an account as an individual or as an authorized representative of a company. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
Account Security: You are responsible for safeguarding the password and other credentials you use to access the Platform and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Multiple Accounts: You are generally permitted to register only one account. We reserve the right to suspend or terminate any duplicate accounts.
Nature of the Platform
Marketplace: The Platform is an online service that allows you to create and publish announcements (products/services) , to view announcements, and communicate with other users as regards their announcements. We shall not claim to own the items listed, nor shall we be directly involved in the transaction between users (seller/buyer). Users shall be solely responsible to collect and remit any applicable taxes resulting from the sale of their goods or services posted on the Platform.
No Warranty: We do not make any representations or warranties regarding the condition, quality, safety, suitability or legality of the items listed on the Platform. All services are provided "as is" and "as available."
User-to-User Interactions: Your interactions with other Service users are solely between you and such user. You agree that the we will not be responsible for any loss or damage incurred as the result of any such interactions. If there is a dispute between you and any Service user, we are under no obligation to become involved.
We reserve a right to delete or block access to announcements posted by users without any notice in the event of: (i) receiving of mandatory judgments of competent public authorities; (ii) claim of a holder of intellectual property rights to terminate infringement of his/her rights by a user on the Platform; (iii) infringements of rights or legal interests of other users, legal entities, or individuals upon their reasonable request; (iv) detecting that announcement posted by a user on the Platform breaches these Terms and Conditions or any applicable law, regulation, rule or standard.
We retain the right to implement any changes to the Service at any time, with or without notice. You acknowledge that a variety of administrator’s actions may impair or prevent you from accessing the Service at certain times and/or in the same way, for limited periods or permanently, and agree that the administrator has no responsibility or liability as a result of any such actions or results, including, without limitation, for the deletion of, or failure to make available to you, any content or services.
User Content and Prohibited Activities
User Content: Any content you post on the Platform, including but not limited to listings, reviews, messages, and photos, is your sole responsibility. You warrant that you have the necessary rights and permissions to post this content and that it does not infringe on any third-party rights.
A user shall provide to the administrator any documents confirming the legitimacy of posting of announcements and identity documents upon the administrator’s request.
A user, who posts announcements with regard to the sale of goods or services on the Platform, shall provide precise and complete information about such goods and services, as well as about the terms and conditions of sale and services provision. In particular, but without limitation, the “Platform” associated contact with each announcement, which implies not only the ability to receive messages but also necessitates that the user shall be available to answer queries promptly. Failure to maintain an accessible and functional “Platform” contact may result in the temporary closure of the user's advertisements.
Price of goods or services shall be exact. If it is perceived to be changed due to any specific circumstances, this shall be provided in the announcement.
Prohibited Activities: You agree not to use the Platform for any unlawful purpose or to engage in any prohibited activities, including:
Posting false, misleading, or fraudulent information.
Listing or selling illegal or prohibited items.
Infringing on any intellectual property rights.
Spamming, phishing, or distributing viruses or other malicious software.
Harassing, threatening, or defaming other Users.
Engaging in any activity that could harm or disrupt the Platform.
Moderation: We reserve the right to remove any content or suspend or terminate your account at our sole discretion, with or without notice, if we believe you have violated these Terms.
Fees and Payments
Service: The Platform is generally free; however, it has payable services for users opting to publish announcements. For instance, payment to publish announcements, limits for publishing announcements in certain categories or offer advertising options for announcements on the Platform.
Payment: The fees we charge for using payable services and payment methods accepted by us are disclosed on the Platform. We reserve the right, in our sole discretion, to change the fees and acceptable payment methods from time to time and for any reason.
Non-Refundable: Unless otherwise explicitly provided by mandatory rules of the applicable law, the fees are non-refundable due to the nature of online services.
Payments, Refunds and Settlements for the services are governed by the respective policies as published on the Platform.
Limitation of Liability
No Liability: To the fullest extent permitted by Kenyan law, we shall not be liable for any lost profit or any direct, indirect, incidental, special, or consequential or punitive damages resulting from your use or inability to use the Platform or arising from these Terms and Conditions. Access to, and use of, the service, are at your own discretion and risk, and you will be solely responsible for any damage to your computing system or loss of data resulting therefrom.
Notwithstanding and to the contrary of this clause or anything contained herein, you agree that the aggregate liability of the administrator to you for any and all claims arising from the use of the service, content of announcements, is limited to the lesser of the amounts you have paid to us, if any, for the duration of an active payable service, prior to any cause of action arising and in any case not exceeding ksh10,000.
"As Is" Basis and Platform Availability: The Platform is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We shall, however, use commercially reasonable efforts to ensure the Platform is available at least 99.9% of the time. This availability commitment does not apply to any unavailability caused by events or factors beyond our reasonable control, including but not limited to, force majeure events, internet service provider failures, or any scheduled maintenance of which we provide you prior notice.
User Responsibility: You acknowledge that you are solely responsible for all of your interactions with other Users and that we are not liable for any acts or omissions of other Users.
User Representations and Warranties
By using the Service, you represent and warrant that:
You have the legal capacity and you agree to comply with the Terms and Conditions.
If you register yourself as a representative of a legal entity, you are authorized by the company to enter into an agreement with us and with users of the Platform.
You are above 18 years of age.
You will or have provided true, accurate, and complete information and you will update your information on your account to maintain its truthfulness, accuracy, and completeness.
You will notify the administrator of any unauthorized access to your account.
You will not provide any false or misleading information about your identity or location in your account.
You will not use the Service for any illegal or unauthorized purpose.
You will not publish on the Platform announcements that offer for sale or exchange any prohibited Items or that infringe other person’s rights or interests, including any intellectual property rights or any other personal or proprietary rights of any third party.
You will not post on the Platform announcements that include:
false, misleading or deceptive statements.
pornographic, overtly sexual materials.
services, provision of which is prohibited by the applicable law.
information of solely promotional nature with no offers of specific goods or services.
pirated or stolen goods, counterfeit and imitated goods or unauthorized copies.
direct or indirect references to any other web sites, references or information about websites competing with the Platform.
You will not spam other users on the Platform through unsolicited communication such as emails or chat. This will include collecting information about users on the Platform without their consent.
You will not copy, modify, distribute another user’s content without consent of the respective user.
You will not download, store, post, distribute and provide access to, or in any other way use anything that may be considered malware.
You have a legal title to the items offered for sale in your announcement.
Dispute Resolution
User-to-User Disputes: We are not responsible for mediating or resolving disputes between Users. We encourage you to communicate and resolve any issues directly. This notwithstanding, please also refer to the “Refund and Return” policy for guidance.
Disputes with Us: Any dispute or claim relating to these Terms and Conditions will be governed by the laws of Kenya and will be subject to the exclusive jurisdiction of the courts of Kenya.
Data Protection and Privacy
Privacy Policy: We are committed to protecting your personal data. Our collection, use, and disclosure of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.
Consent: By using the Platform, you consent to the collection, processing, and storage of your personal data in accordance with the Data Protection Act, 2019, and our Privacy Policy.
Intellectual Property Rights
All intellectual property rights on the Platform, including trademarks, logos, and content (excluding “user content”), are owned by MaasaiSoko or its licensors. You may not use any of our intellectual property without our prior written consent. We do not claim any ownership of copyright or other proprietary intellectual property rights on information submitted to us as part of registration, text, pictures or post on the Platform. Notwithstanding the foregoing, you agree that we may retain copies of all registration information and the “user content” and use such information as reasonably necessary in operation of the Service and as described in these Terms and Conditions and also the Privacy Policy.
You agree, and represent and warrant, that your use of the Service, or any portion thereof, will neither infringe nor violate the rights of any other party or breach any contract or legal duty to any other parties.
You grant the administrator the non-exclusive, worldwide, transferable, perpetual, irrevocable right to copy, modify, adapt, store, publish, distribute, publicly display, communicate and make available to the public the User Content in connection with the Service, as well as for the administrator’s marketing, advertising, and other purposes.
If you are a holder of intellectual property rights or a person authorized to act in the name of a holder of intellectual property rights and you reasonably believe that information that is posted to the Platform someway infringes your intellectual property rights or intellectual property rights of a person, in which name you act, you may provide notification to the administrator requiring to delete such material. In this regard, you shall warrant that your appeal has a legal basis, and you act in good faith according to law. In the notification, please include the following:
contact information so that we are able to contact you, for example, email address.
the objects of supposedly infringed intellectual property rights to should be specified. Ideally, specify materials (with an indication of specific URL-pages), which are stated to infringe rights or themselves are the objects of infringement.
copies of documents establishing rights to the object of intellectual property.
signed application with regard to that information contained in a notification is accurate under penalty of perjury, and you are authorized to act in the name of a holder of an exclusive right, which has been supposedly infringed. If acting on behalf, include documents that confirms powers for acting in the holder’s name, in attachments to the appeal.
the appeal should include the physical or electronic signature of a person empowered for acting in the name of a holder of the right, which is believed to be infringed.
Include the statutory regulations which you believe to be violated in connection to using of disputable content including the territory in which you believe the rights to be infringed.

Miscellaneous
Except as otherwise provided, if any provision of these Terms and Conditions is held to be invalid, void, or for any reason unenforceable, such provision shall be struck out and shall not affect the validity and enforceability of the remaining provisions.
In no event shall we be liable for any failure to comply with these Terms and Conditions to the extent that such failure arises from factors outside the administrator's reasonable control.
We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed in accordance with the laws of Kenya.
Any dispute, controversy or claim arising out of or in connection to this contract, or breach, termination or invalidity thereof shall be settled by arbitration in accordance with the Kenyan Arbitration Act 1995, Laws of Kenya as amended from time to time or any amendment or other enactment in replacement thereof. The place of arbitration shall be Nairobi, Kenya and the language of arbitration shall be English.
